What are the fiduciary duty consequences for a PBC’s director in a share- and a stakeholder oriented jurisdiction? And what can the Netherlands learn from the U.S.’ experiences with this new type of partly social enterprises? This article elaborates on these particular corporate governance issues and advises on the implementation of the PBC in the Netherlands.
